Agreement Reached on Shelter Makeover 1

Zootoo is thrilled to announce that we have fulfilled our commitment to the winner of the 2008 Shelter Makeover contest!

Those who know me see and experience my passion for the health and well being of animals every day. We created the Shelter Makeover contest as a way to improve the care and treatment of animals across the country and increase community awareness of their local shelter.

Zootoo remains committed to the Shelter Makeover contest and its promise to deliver up to $1 million in value to contest winners through partnerships and sponsorships, cash contributions, and donations of goods and services.

We at Zootoo root for every one of our contest contestants and believe that great things happen when communities come together such as more animals getting adopted.

Joint Statement of Zootoo and Stray Rescue
April 22, 2009

Zootoo and Stray Rescue of St. Louis share the same goal: to do what is best for animals that are in the need of care, shelters and adoption. For these animals, we are pleased to announce that an agreement was reached today that will allow Zootoo and Stray Rescue to move forward. Today’s agreement completes Zootoo’s commitment to Stray Rescue. Zootoo was delighted to assist Stray Rescue in this endeavor.

Stray Rescue Corrects Misunderstandings

Upon learning more about the sponsorship funds that were associated with the Zootoo Shelter Makeover, Stray Rescue realizes that it did not have the full facts at its disposal when two statements were made. The Pedigree Foundation grant associated with the Zootoo Shelter Makeover Program was and remains part of the value delivered by Zootoo. Stray Rescue believed that this $250,000 was not part of the makeover award.
Therefore, the following statements should be corrected. “Stray Rescue founder Randy Grim said Wednesday his group wired Zootoo.com $170,000 of its own money. . . .” appeared in an April 8, 2009 Associated Press story.

The second statement, from an April 12, 2009, USA Today article, “Grim says he has wired Zootoo about $129,000 since November to pay for much of the work so far. . . .”

Once Stray Rescue had all of the facts, it realized that funds mentioned in the statements were part of the value delivered by Zootoo to Stray Rescue. Also, no funds were wired from Stray Rescue to Zootoo. Stray Rescue wired what it now understands to be sponsorship makeover grant funds to a title company in charge of disbursing funds for the makeover.

We are pleased that we have put this matter behind us and have reached an agreement to move forward with our shelter makeover. We regret any hardship this may have caused Zootoo or any of its sponsors or our supporters.

What I can't comprehend is why Z2 didn't have sponsors in order BEFORE the first contest! That is all a part of marketing. Sponsors should be in place before a contest is ever promoted. Doesn't make sense.

I agree. This wouldn't have been an issue if all the sponsors were in agreeance about the money they are donating and had this taken care of before the contest began. I just pray that this is taken care of before the winner is announced and they get the money that they deserve from the help of their supporters.

Dear Richard,

1) We never, ever doubted your word.

2) We have been fortunate to make it to the Top 10 and the $10,000 will greatly help our shelter!

3) We have been contacted by two wonderful dog rescue groups, one a Top 10 and one a Top 20 finalist about networking together!! This will help raise more awareness in the general public about horses, dogs and cats. This would not have happened if not for this contest!

4) We have a large base of horse people, they have a large base of dog and cat people and together we should quadruple ALL of our efforts.

5) Thank you so much for offering this contest...I commend your efforts, your integrity and your desire and passion to help animals.

6) I can't wait to see who wins the contest and wish everyone the very best!

Thank you for posting this and for all you have done on behalf of America's shelters with the Zootoo website and makeover contest.

Liberty Humane Society was fortunate enough to make it into the Top 10 and the $10,000 will be put to great use in caring for our wonderful animals.

However, the entire experience has been PRICELESS. We have been able to partner with other area shelters and rescue groups; have strengthened our ties with Jersey City; and have expanded our donor and volunteer base substantially.

For this, you have our eternal and heartfelt thanks. I think this is what your goal has always been....to help shelters help each other and themselves. Mission accomplished!!!!

While this shelter has fixed their problem other shelters were hurt by losing local support because of these minsunderstandings. It really does help that people get all the facts before they make statements.

I agree completely. The timing couldn't have been worse and it hurt all of us.

That being said, this contest has been AWESOME!!! Our shelter has received so much support from the community and we have all made new friends. The homeless animals are the real winners!

ST. LOUIS (AP) — An animal rescue group and the founder of a popular pet Web site that had offered a $1 million makeover are parting ways, saying they had reached a legal agreement yesterday.

Under the settlement, Richard Thompson’s Zootoo.com gave an undisclosed amount of money to Stray Rescue of St. Louis.

Stray Rescue will build its own shelter for the street dogs it rescues, rehabilitates and adopts out, founder Randy Grim said. The money from Zootoo, he said, provides “an awesome start.”

Grim said he still needs the community’s support to build a shelter for an estimated $3 million. Stray Rescue has about $500,000 in pledges made before the contest.

Both Grim and Thompson, in separate phone interviews, said they were happy the matter was resolved.

“There’s been some miscommunication, obviously,” Grim said.

Thompson added, “We learned ways to communicate better.”

Last year, Thompson’s Zootoo.com had dangled a fantastic prize for one lucky animal shelter: a

$1 million makeover to the winner of a national contest. Stray Rescue eventually won after competing with more than 1,000 animal shelters across America.

But two weeks ago, Grim said his not-for-profit had gotten no money — just lots of pressure from Thompson to beg subcontractors, suppliers and labor unions to donate their goods and services for the shelter makeover.

Thompson responded by saying that the contest rules pledged “up to $1 million in value” — including cash and donated goods and services.

Thompson said Zootoo.com had provided $400,000 for the makeover so far, but Stray Rescue said most of that was in donated goods and services.

Grim said Thompson even instructed him to wire $170,000 of Stray Rescue’s funds to pay some of the shelter makeover’s startup costs. Grim thought he’d be reimbursed.

Thompson said some of the $170,000 was from a Pedigree Foundation grant Stray Rescue wouldn’t have gotten if the organization hadn’t won the makeover.

A joint statement released yesterday said the Pedigree grant “was and remains part of the value delivered by Zootoo.”

I think that ZOOTOO has been a great network tool for all animal shelters regardless of any thing else. This site has been more than a national competition. ZOOTOO has brought animal lovers together over long distances. It has provided many services such as answers to pet questions, solutions to problems, good vets etc. This site has brought to light the plight of animal abuse throughout the country. I find it a privledge to have the opportunity to relate with others and learn from their experiences. I certainly hope there won't be any further "hiccups" in MakeOver II. Thank you, Mr. Thompson. It's been fun and educational.

I think it is time to put this to rest, the people involved have come to a decision. The continual demanding is getting ridiculous. How can anyone come on this thread and think THEY each should know exactly what went on behind those doors with the attorneys. WE Can't - all the negative feedback drains the joy away from the top 10 shelters who are still waiting to find out who the winner will be.

Lets think of them and all of their hard work. I would think it would be up to Randy to let his shelters followers know what went on .

I still don't feel like we got the full story. I checked Stray Rescue's site today and they have taken off all mention of the shelter makeover (it was on there last week). Do they have enough funds now to finish the makeover? Are we going to have a madeover shelter in St. Louis . . this is the big question that I would like to have answered either by Z2 or Stray Rescue.

Thanks everyone for all your thoughts and comments. Some better than others, but that's what's great about zootoo being an unbiased user-generated pet lovers site.

Everybody has an opinion and everyone can express it. There's not a lot of pet sites that you could do this on.

I never said I was perfect, but I do this with a good heart and good intentions and I would like to point to the fact that this is a JOINT statement and not a statement coming from me alone.

Thanks, Topcat, I was quite pleased to see that the shelter makeover I situation has been resolved, and that you clued us in on this before the announcement on the 27th. I realize there are still people on this site that want to continue to harp on the issues surrounding Shelter Makeover I. The thing is, at this point, there's nothing more that can be done. We will all never know all of the details, nor all of the details of the resolution. Acceptance is a beautiful thing. It allows us to move on and live in the moment, not in the past. For the sake of all ZooTooers and general morale, I hope everyone can accept what is and move on. Whatever mistakes were made in Shelter Makeover I, I'm sure will not be made a second time. This website and the contest do wonderful things for homeless pets. I would like to say, "Thank you, Topcat" for the opportunity you've given all of us through your contest and your website to make all of our shelters' needs known to our communities and the nation. Animals win no matter what through publicity and education.

I did read the rules of the contest when my shelter asked all of us to join and work towards the prize..... at first I wasn't sure after reading the rules.... to me it was very clear that the winner would win up to a million dollars in donated services, goods and money..... I figured my shelter already asked local businesses to donate so much already - but joined thinking that ZooToo might get outside businesses to donate as well. The contest takes a lot of time from the shelter workers and patrons - so now - especially since my shelter got boosted from the top 20 - I just do it for fun - and well to get to zoomaster too. (I am not sure I would promote my shelter doing the contest again - all the time and effort I think would be better used in a capital campaign? but that is my 2 cents and I do not run the shelter). Hope everything settles down. This is suppose to be fun.

Shame on you, Mr. Thompson. It's amazing to me how many people and organizations who were involved in the 2008 $1 Million Shelter Makeover didn't quite understand your intended definition of a "$1 Million Shelter Makeover". Now that you have reached your "agreement" with Stray Rescue I suppose we are expected to believe that Zootoo has fulfilled it's commitment to Stray Rescue. Not in my opinion, or apparently that of a lot of other people who supported Zootoo. You may be an animal lover, but your actions have destroyed any trust I had in your organization and I have today asked to be removed from Zootoo. I am simply tired of all the mumbo jumbo and double-talk dished out by Zootoo. If only we had understood what you meant all along - that's the tricky thing about double-talk! So now Randy Grim and Stray Rescue will go back to what they have always done - help animals - with or without you. Through all of this sad business, the one thing that has remained intact is my love of animals and of Randy Grim and Stray Rescue.

Way to say it. I think we all feel really cheated. Sounds like Zootoo has some awesome lawyers who can twist their words and still come out looking like they are charitable. It's sick that Stray Rescue and the animals will be the ones paying the price for all this behind the scenes crap.

The Humane Society of the Nature Coast family is also pleased to hear that Randy Grimm and Richard Thomas have been able to clarify the issues and reach a agreement that both feel meet the terms of the contest. We read the rules thoroughly before entering this contest and to date everyone at Zootoo, and especially Richard have been forthright and above board regarding the terms of the makeover. Since the beginning of our participation in the contest, we have had an increase in supporters, an increase in volunteers and an increase in the publics interest in the welfare of the animals in our community. Legal terminology can be very hard to understand. It's the same in the medical field. But, if you read, Dennis' responses below, he has put it in layman's terms. Good job, Dennis!

I am pleased to see that this matter was settled between the parties involved. Now, maybe all of the focus can be put back where it belongs...On the animals we all love!

I'm glad that this was settled before the 2nd makeover winners are announced April 27th.

It is a joint statement and probably has confidentiality agreements in place and clause about not disclosing the details of the settlement. This is what happens when attorneys are involved. We can only speculate on the details. Any negotiation is about compromise. In compromise, no one party gets exactly what he wants and when he wants it.

The Stray Rescue saga is over. Let us move on and focus on the next group of shelters who will win the makeover, 1st runner up and 2nd runner up. Animals somewhere will be helped, and the work that shelter supporters did on zootoo will be rewarded.

The Central Missouri Humane Society is pleased to hear that this misunderstanding has come to a fair resolution for each party. All of us that met Richard Thompson during our shelter tour can verify his passion to help shelters and the animals in them....it's a bit contagious! I wish they would apolgozie to all of this years top ten shelters that suffered from this "misunderstanding". From all the people I personally heard from and my friends heard from, a lot of people did not vote for our shelter because we would not get the money anyway. I'm sure some of the other shelters suffered the same. Our hit on the head came from our local media. They bailed out and left us hanging while they yelled scam.

I'm sorry to hear from you that "the misunderstanding," which I've been reading here on ZooToo was so wide-spread, that it hit the media, and that it also hurt the voting process for the Top 10. So many shelter managers were exhausted from working long hours, and exerting themselves to gain points, for the length of this competition and many supporters gave what they could. To call in "unfortunate" would be too simple if this is the case. Maybe next makeover, if there is one, will stay positive.

What exactly happned today that "completed" Zootoo's commitment to the first makeover contest winner? Unless Zootoo gave the Stray Rescue the $1 million in cash or in-kind contribution IMMEDIATELY today, I find it hard to believe that a big commitment like the one Zootoo promised could be completed all in one day. I'm interested to know just what the settlement was.

And the pedigree "grant' was part of the makeover. Little did we or Randy know that in donating food to try and help out Bobbi and the Strays he was taking away fro his makeover "prize" I don't get it either.

Anyone who was lobbying for Bobbi and the Strays to try and help was aware of Randy's generosity. Many donated to Bobbi and the Strays and with the "issues" Randy has had with the makeover I think we all should be giving him a hand now. He has lost some financial support from the public due to winning the makeover as some feel he doesn't need it since he won and I'm sure struggling with the economy the way it is even with his akeover "prize", not to mention using shelter money for whatever TC said he needed it to be sent for. Might not be much but I plan on sending Randy a donation.

What? Why did Stray Rescue have to send Money to get Money? Was there something in the application process before signing up to join this contest that said some of the money involved had to do with a "matching grant" for which the winning shelter had to submit part of the money?

My take: part of the money that was part of the makeover was a $250,000 grant from Zootoo that stray rescue assumed was just given to them and was not part of the makeover. That money that Stray Rescue assumed was theirs to use as they wished was part of the partnership agrrement for the makeover. That money that Stray Rescue assumed was going to Zootoo was in reality was placed in an escrow account with a title company and was being used to pay contractors for the project and not used for other projects, A not uncommon practice...........................Dennis

Even if the money went to a "representative" of Zootoo, it is misleading to say that it did not go to Zootoo. When a representative acts on behalf of another, it is the same difference.

Just because some animals are helped doesn't mean people can set their morals and ethics aside. Many Zootooers, for example, "cheated" in various ways during the contests (e.g., writing fake reviews) and apparently felt justified in doing so "in the name of animals". Just because the beneficiaries are supposed to be animals shouldn't mean people use lower standards of behavior.

Excellent point. Sadly, this is what happens when so many people get involved. There are bound to be bad apples. The really bad part is that a whole shelter can be condemned by other ZooTooers bc one or a few members don't play fair, or make a rude comment.

Money is not the issue. The contest was for a makeover up to $1M in VALUE. The contest was not to give one million in cash for the shelter to do as it pleased with the money. If a contractor were to build you an home and the cost to him was $500,000 but the fair market value of the home was $1,000,000 you would have been given value that equals $1M. It's the same thing.

It was a joint statment and Stray Rescue is satisfied. I don't understand why others that have no association with that group have a problem with the outcome. If you are that concerned it might be best to contact Stary Rescue and get their response directly rather then accusing someone else of spin.
